TERMS OF SERVICE FOR MOBILE APPLICATION

1. ACCEPTANCE OF TERMS
By downloading, installing, registering for, or using the B-ticket Mobile Application (“App”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the App. These Terms are read together with the B-ticket Website Terms of Service, Privacy Policy, Cookie Policy, and Refund Policy of B-ticket Inc. (“B-ticket,” “we,” “us”). In case of inconsistency, the Refund Policy controls refund matters, the Privacy Policy and Cookie Policy control data-protection matters, and these Terms control other matters relating to the App.
2. DESCRIPTION OF SERVICE
The App is a digital platform through which users (“Users”) can browse participating merchants (“B-Merchants”), discover and redeem coupons, deals, and offers (“Offers”), and access optional subscription benefits. B-ticket provides the App and platform functionality; B-Merchants independently provide the goods and services described in their Offers. B-ticket acts as a facilitator and, except where expressly stated, is not the seller or provider of merchant goods or services. Nothing in these Terms creates an agency, partnership, or employment relationship between B-ticket and any B-Merchant.
3. ELIGIBILITY AND ACCOUNTS
3.1 You must be at least eighteen (18) years old and legally capable of contracting. B-ticket may request information to verify eligibility and may suspend or close an account reasonably believed to belong to a person who does not qualify.
3.2 Registration requires a valid mobile number, email address, or supported third-party login, and accurate account information. You are responsible for keeping your credentials confidential and for activity under your account, except unauthorized use occurring without fault on your part. Promptly notify B-ticket of any suspected unauthorized access or fraud; B-ticket may temporarily restrict an account while investigating security concerns.
3.3 Certain features may request device permissions (such as notifications, location, or camera). Granting them is voluntary; refusing may limit the related feature.
4. SUBSCRIPTIONS AND PAYMENTS
4.1 Plans and Disclosure. The App may offer paid subscription plans, including auto-renewing plans where identified in the purchase interface. Before you confirm a purchase, the purchase screen will disclose the price (inclusive of applicable taxes), the subscription period, whether and how the plan renews, the renewal price, and how to manage or cancel renewal.
4.2 In-App Purchase Only. Subscriptions purchased through the App are processed exclusively through the in-app purchase system of the applicable platform: Apple In-App Purchase (iOS), Google Play Billing (Google Play), or Huawei In-App Purchases (Huawei AppGallery). By confirming a purchase you authorize the applicable platform to charge your selected payment method. B-ticket does not collect or store your payment-card information.
4.3 Auto-Renewal and Cancellation. Where a plan is identified as auto-renewing at purchase, it renews for successive periods of the same length at the then-current price unless you turn off auto-renewal before the next renewal is processed, through the subscription settings of the platform where you purchased (Apple ID, Google Play, or Huawei ID settings). Turning off auto-renewal stops future charges; your paid benefits continue until the end of the period already paid for.
4.4 Free Trials. Where a free trial is offered, the enrollment screen will disclose the trial length, whether it converts to a paid subscription, the first charge date and price, and how to cancel before being charged. A trial converts only as disclosed at enrollment and only if not canceled within the disclosed period.
4.5 Price Changes. Price or benefit changes to an auto-renewing plan apply no earlier than the next renewal and will be communicated in advance, with an opportunity to cancel first. Where the applicable platform requires your affirmative consent to a price increase, the increase applies only after that consent.
4.6 Prior Terms. Earlier versions of these Terms described certain subscriptions as non-renewing. For subscriptions purchased under such wording, auto-renewal applies only where it was clearly disclosed and accepted through the applicable purchase process, or where your fresh consent has been obtained.
5. CANCELLATIONS AND REFUNDS
Fees already charged are non-refundable except as provided in the B-ticket Refund Policy, the applicable platform’s rules, or applicable law. Refund requests for subscriptions purchased through an in-app purchase system are handled in accordance with the applicable platform’s refund procedures and policies and may be submitted through Apple, Google, or Huawei, as appropriate; B-ticket Customer Support can help you identify the applicable refund channel and will support legitimate requests, including verified duplicate or erroneous charges. Where B-ticket itself provides a remedy, you will not be required to accept service credits in place of a monetary refund that is legally due.
6. COUPONS, OFFERS, AND MERCHANTS
6.1 Offers are supplied or approved by B-Merchants, who are primarily responsible for honoring and fulfilling them as displayed. B-ticket provides platform functions such as displaying Offers, issuing coupons, and validating redemptions.
6.2 User Complaints. Users may submit complaints concerning a B-Merchant’s goods or services to B-ticket Customer Support. B-ticket will receive and record the complaint and, where appropriate, coordinate or escalate it with the relevant B-Merchant under B-ticket’s complaint-handling process. This does not affect the B-Merchant’s primary responsibility for the goods or services it supplies.
6.3 Offers may carry conditions (such as validity periods, redemption limits, participating branches, or exclusions), which are displayed with the Offer; review them before redeeming.
6.4 Original Text Prevails. Where an Offer is displayed in more than one language, the version designated as the original controls to the extent permitted by law. Translations are provided for convenience, and the original text is available within the App. B-ticket does not warrant the accuracy of translations and, to the extent permitted by law, is not liable for discrepancies arising from translation, without prejudice to rights that cannot lawfully be waived.
6.5 Fraud by Third Parties. Transact only through official B-ticket channels. B-ticket is not responsible for independent fraudulent acts of third parties outside its reasonable control — such as phishing, impersonation, counterfeit coupons, or transactions outside the App — except to the extent B-ticket is responsible under applicable law. Report suspected fraud to support@b-ticket.ph.
6.6 Merchant Verification and Complaints. B-ticket maintains merchant onboarding, verification, and record-keeping procedures consistent with applicable law, including the Internet Transactions Act of 2023 (RA 11967), and maintains a process for receiving, investigating, and escalating User complaints about Offers and merchant conduct. Merchant identity and contact details are made available to Users as required by law.
6.7 Misuse. Tampering with, counterfeiting, fraudulently redeeming, unlawfully reselling, or otherwise abusing coupons may result in suspension or termination under Section 13.
7. USER CONTENT
The App may allow you to post reviews, photos, or other content (“User Content”). You own your User Content. You grant B-ticket a non-exclusive, worldwide, royalty-free license to host, display, reproduce, adapt, and distribute it only as reasonably necessary to operate, secure, and improve the App; use of identifiable User Content in external advertising requires your separate consent. The license ends when you delete the content or your account, except for content already shared with other Users or retained as required to resolve disputes or comply with law. User Content must not be unlawful, misleading, infringing, abusive, or harmful (including malware or spam). B-ticket does not pre-screen all content but may remove or restrict content that violates these Terms, the law, or third-party rights. You are responsible for what you post; subject to applicable law, B-ticket is not responsible for content independently posted by Users or third parties.
8. PROHIBITED CONDUCT AND INDEMNITY
8.1 You must not violate applicable law; access another’s account; copy, reverse engineer, or interfere with the App except as permitted by law; scrape or commercially exploit merchant or coupon data; manipulate redemptions; create fraudulent transactions; introduce harmful code; or bypass security measures.
8.2 To the extent permitted by law, you will indemnify B-ticket and its officers, directors, and employees against third-party claims and reasonable expenses arising directly from your fraudulent or unlawful conduct, your material breach of these Terms, your infringing User Content, or your intentional misuse of coupons or the App. This does not cover loss caused by B-ticket’s own fraud, gross negligence, or willful misconduct.
9. INTELLECTUAL PROPERTY
The App, its software, and B-ticket’s trademarks, designs, and content are owned by or licensed to B-ticket and protected by intellectual-property law; using the App transfers no ownership to you. Merchant trademarks and merchant-provided content remain their owners’ property.
10. PRIVACY AND COMMUNICATIONS
10.1 B-ticket processes personal data in accordance with the Data Privacy Act of 2012 and the B-ticket Privacy Policy, which describes the data processed, purposes, retention, sharing, security, and your rights.
10.2 Granting a device permission enables a feature; it does not by itself constitute consent to processing, which is governed by the Privacy Policy. You may revoke permissions in your device settings.
10.3 B-ticket may send communications necessary to operate your account (such as security alerts, purchase confirmations, and subscription notices). Marketing messages are sent only with your prior consent, given at registration or in settings, and withdrawable at any time without affecting your use of the App.
10.4 Account Deletion. You may request account deletion in the App or through support; data is then deleted, anonymized, or retained per the Privacy Policy and law. Deleting your B-ticket account does not cancel a subscription billed through Apple, Google, or Huawei — cancel it first in the applicable platform’s subscription settings if you do not want it to renew.
11. THIRD-PARTY SERVICES
The App may link to or integrate services operated by third parties (such as platform providers, maps, or merchant websites). B-ticket does not control independent third-party services, and your use of them is subject to their own terms and policies.
12. DISCLAIMERS AND LIMITATION OF LIABILITY
12.1 B-ticket does not guarantee the quality, availability, safety, or performance of goods or services independently supplied by B-Merchants, and does not guarantee uninterrupted or error-free operation of the App; temporary interruptions may occur due to maintenance, outages, or events beyond B-ticket’s reasonable control.
12.2 To the extent permitted by law, B-ticket is not liable for indirect, incidental, special, or consequential damages arising solely from use of or inability to use the App.
12.3 Where a contractual limitation is legally permitted, B-ticket’s aggregate contractual liability for claims arising from its paid subscription services will not exceed the subscription fees paid by the affected User in the three (3) months preceding the event giving rise to the claim. For Users who have paid no fees, this clause does not eliminate any remedy that cannot lawfully be excluded.
12.4 Nothing in these Terms excludes or limits liability for fraud, gross negligence, or willful misconduct, or any right that cannot legally be waived, including under the Consumer Act of the Philippines, the Internet Transactions Act, and the Data Privacy Act. This Section applies to these Terms as a whole.
13. SUSPENSION AND TERMINATION
For violations that can reasonably be corrected, B-ticket will provide notice and a reasonable opportunity to remedy before permanent termination, and may temporarily restrict access during investigations. B-ticket may suspend or terminate an account without prior notice for fraud, deliberate coupon manipulation, unauthorized access, or serious or repeated violations. Where an account is permanently terminated for a non-fraudulent violation and the User acted without bad faith, the unused portion of an eligible paid subscription will be refunded pro rata in accordance with the Refund Policy, subject to the applicable platform’s refund mechanics. Termination does not eliminate rights that cannot legally be waived.
14. CHANGES TO THESE TERMS
B-ticket may amend these Terms. Non-material changes take effect upon posting in the App with an updated “Last Updated” date. Material changes will be communicated at least fifteen (15) days before taking effect via in-App notice and, where available, your account contact channel (email, SMS, or push). Where law or a platform requires affirmative consent to a change, it applies only after that consent. Continued use after properly notified changes take effect constitutes acceptance to the extent permitted by law.
15. GOVERNING LAW AND DISPUTES
These Terms are governed by the laws of the Republic of the Philippines. Please raise complaints first with B-ticket Customer Support; doing so does not waive any statutory remedy. Where applicable under the Internet Transactions Act of 2023, B-ticket’s internal redress mechanism is deemed exhausted if a complaint remains unresolved seven (7) calendar days after filing. Unresolved disputes shall first be addressed through good-faith negotiation and, if still unresolved, mediation administered by the Philippine Dispute Resolution Center, Inc. (PDRCI) or another mutually agreed mechanism, before litigation — except that you may file eligible small claims directly, complain to a competent regulator, or exercise any remedy that cannot legally be restricted. Actions initiated by B-ticket will be filed in the competent courts of Taguig City where legally permitted; you may sue in Taguig City or any other venue available to you under law.
16. APP STORE NOTICE
Apple Inc., Google LLC, and Huawei, with their applicable affiliates (“Platform Providers”), are not parties to these Terms and are not responsible for the App, its content, or its maintenance and support; B-ticket is solely responsible for the App and any claims relating to it. You acknowledge and agree that Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, Apple has the right to enforce these Terms against you as a third-party beneficiary; equivalent treatment applies to Google and Huawei to the extent required by their distribution terms. Subscription management, billing, and refunds are handled through the platform where you purchased and may be governed by that platform’s procedures. Nothing in this Section transfers to a Platform Provider any responsibility that law places on B-ticket.
17. GENERAL
Severability. If any provision is held invalid, it is enforced to the maximum permissible extent and the rest remains in effect. Force majeure. B-ticket is not liable for delay or failure caused by events beyond its reasonable control (such as natural disasters, government action, or major platform, network, or payment outages). Service changes. B-ticket may modify or discontinue App features; where this materially affects a paid benefit, remedies follow the Refund Policy and applicable law. Entire agreement; waiver; assignment. These Terms and the incorporated policies are the entire agreement for the App; non-enforcement on one occasion is not a waiver; you may not assign these Terms, while B-ticket may assign them to an affiliate or successor without diminishing accrued consumer rights. Survival. Provisions on intellectual property, accrued payments, indemnity, liability limits, and dispute resolution survive termination. Language. These Terms are executed in English; translations are for convenience, and the English version controls in case of genuine inconsistency, to the extent permitted by consumer law.
